These Terms of Service ("Terms") govern the use of BOTOTO. By creating a BOTOTO account, signing an order form that refers to these Terms, or using BOTOTO, you accept them on behalf of your business.

About these terms and who we are

BOTOTO is a product and brand of Bototo Technology LLC (შპს ბოტოტო ტექნოლოჯი), a limited liability company registered in Georgia with identification code 405891343, with its registered address at 63 Anna Politkovskaya St., Apt. 23, Vake District, Tbilisi, Georgia ("BOTOTO", "we", "us"). "You" means the business that uses BOTOTO.

  • "Users" are the people you allow to use your BOTOTO account, such as your staff.
  • "Your customers" are the people who contact your business through BOTOTO.
  • "Customer Data" is information that you, your Users or your customers submit through BOTOTO, including conversations, booking requests, appointments, customer records and your business information.

These Terms apply together with any order form or other written agreement you sign with us for BOTOTO (an "Order Form"), our data processing terms (provided with your Order Form) and our Privacy Policy. An Order Form prevails over these Terms, and the data processing terms prevail on matters of personal data. If you only visit our website, the sections on intellectual property, disclaimers, limitation of liability, governing law and general terms apply to that use.

The service

BOTOTO brings together customer conversations, business information, booking requests, customer records, calendars and handoff to your team. An automated assistant answers routine questions from the business information you provide, such as opening hours, location and parking, and organises booking requests. Your team reviews decisions and can take over any conversation.

BOTOTO is in development. Features shown on our website, in demonstrations or in prototype screens describe the direction of the product. They are not a promise that a feature is available now, or that it will be available in a particular form or by a particular date. Features labelled early access or pilot may be limited, changed or withdrawn. The assistant is designed to reply in Georgian, English and Russian, and reply quality may differ between languages.

We plan to offer a web chat for your own website first, followed by Facebook Messenger, Instagram messaging and WhatsApp. None of these channels is available yet. The Meta channels depend on Meta's review and approval. BOTOTO is not approved, certified or endorsed by Meta and is not a Meta partner. Once available, a channel can still be limited, changed or withdrawn by its provider (see Third-party services and integrations).

Who may use BOTOTO

BOTOTO is for businesses and other organisations only. It is not offered to consumers or for personal or household use. By accepting these Terms, you confirm that you have authority to bind your business to them, that your business is lawfully established, and that you and every User you invite are at least 18 years old.

Accounts and your responsibilities

  • Administrators. You name at least one account administrator, who can invite and remove Users, connect channels and manage settings. We treat an administrator's instructions as yours.
  • Sign-in details. Each User needs their own sign-in details and must keep them confidential. You are responsible for activity under your account and for removing access when someone no longer needs it. Tell us at info@bototo.ge if you suspect unauthorised access.
  • Business information. The assistant relies on the information you provide, such as services, prices, opening hours, closures, schedules and policies. You are responsible for keeping it accurate, complete, lawful and up to date. If BOTOTO organises material you paste in, such as a price list or schedule, review the result before relying on it. Wrong information can lead to wrong answers.
  • Staff information. Make sure you may publish any information you add about your staff, such as practitioner profiles, and that your staff know how it is used.

Permitted use

While your account is active, and subject to these Terms and any Order Form, you may allow your Users to use BOTOTO to communicate with your own customers and manage your own appointments and related administration. This right is limited, non-exclusive and non-transferable. You must use BOTOTO in line with these Terms, our documentation, applicable law and the terms of every channel you connect.

Prohibited conduct

You must not use BOTOTO, or let anyone else use it, to:

  • send spam, or start conversations with people who have not given a consent or opt-in that the law or a channel requires;
  • send unlawful, misleading, harassing or infringing content, impersonate any person or business, or mislead people about whether they are talking to an automated assistant or a person;
  • collect health information beyond what is needed to arrange appointments, or ask for payment card, bank account or identity document numbers or passwords in a chat;
  • give medical advice, triage or telemedicine, or promote or sell medicines or medical products;
  • offer the assistant to the public as a general-purpose AI chatbot, rather than as your business's assistant for its own customers;
  • break the terms or policies of Meta, WhatsApp or any other connected service, including rules on messaging windows, message templates, opt-in and automation;
  • use information received through BOTOTO to profile people, make eligibility decisions or discriminate against anyone, including on the basis of health or medical condition; sell that information; or share one customer's conversation with another customer;
  • misuse AI outputs, for example by presenting them as professional advice, relying on them without human review for decisions that significantly affect people, or manipulating the assistant to bypass its safeguards;
  • access other customers' data, get around security measures or usage limits, test vulnerabilities without our written permission, or disrupt BOTOTO; or
  • reverse engineer BOTOTO (except where the law allows), resell or sublicense it, or use it or its outputs to build a competing product or to train AI models.

Your responsibilities for messaging and customer data

For your customers' personal data, your business is the controller and we act as your processor. You are responsible for:

  • Lawful basis: having a legal ground for processing your customers' data, including written consent or another ground where the law requires one for special categories of data. A clinic's appointment information may count as health data.
  • Permission to message: obtaining any consent or opt-in required before you, or BOTOTO for you, start a conversation, and honouring opt-outs and blocks immediately. WhatsApp, for example, requires an opt-in that names your business.
  • Channel rules: following each channel's rules on messaging windows, templates, automation disclosure and escalation to a person.
  • Notices: telling your customers how you use their information, that you use service providers such as BOTOTO, that they may be talking to an automated assistant, and how to reach a person.
  • Contact details: keeping the contact information on your website and channel profiles accurate.
  • Requests: answering your customers' requests about their data. We forward any request we receive to you promptly and help you respond.

Clinics and other health businesses must configure BOTOTO for front-desk administration only, such as opening hours, location, services, prices on request, and booking or rescheduling requests. On Messenger and Instagram, route handoffs to reception, not clinicians: Meta does not allow these channels to be used for direct conversations between people and healthcare providers, or to send or collect patient data obtained from healthcare providers. Do not use WhatsApp for telemedicine, and do not tell patients they can consult a clinician through BOTOTO.

Third-party services and integrations

BOTOTO relies on services run by other companies, including Messenger, Instagram and WhatsApp (provided by Meta), AI model providers, and hosting and cloud infrastructure providers such as Cloudflare. Each service you connect is governed by its own terms and privacy policy, which you must accept and follow.

  • You authorise us to connect to the services you choose and to exchange data with them as needed to provide BOTOTO. You must hold your own account in good standing with each channel and complete any verification it requires.
  • We do not control third-party services and are not responsible for their availability, policies or charges. Connecting to a service does not mean that it endorses BOTOTO or that we are its partner.
  • A provider may change, restrict or end its service, or our access to it, at any time, and the related BOTOTO features may then stop working. We will tell you when we reasonably can. If a provider requires us to end your access to its channel, we will do so.
  • Some channels charge for certain messages, such as WhatsApp template messages, and may bill you directly. These charges are separate from any BOTOTO fees.

Disconnecting a channel stops new messages reaching BOTOTO but does not delete data already stored. See Term and termination and our Data deletion page.

AI features and their limits

BOTOTO uses AI models from third-party providers to understand messages and to write replies, summaries for your staff and draft replies. AI output can be inaccurate, incomplete or out of date, even when it is based on your information.

  • You configure and review. You decide what information the assistant uses. Monitor conversations and correct your information when you find mistakes. Staff must check and edit draft replies before sending them.
  • Handoff to people. The assistant is designed to answer only from your information, not to invent prices or availability, and to hand a conversation to your team when it cannot help or when a customer asks for a person. It then stops replying until your team returns the conversation. Make sure someone reviews handed-over conversations within a reasonable time.
  • Bookings. The assistant proposes times from the schedules and bookings recorded in BOTOTO. Depending on your setup, a booking is recorded when the customer confirms a proposed time, or after your staff confirm the request. Your team remains responsible for your calendar and can change or cancel any booking.
  • Disclosure. Make sure people are told that they are talking to an automated assistant, ideally at the start of every conversation and whenever a person hands a conversation back to the assistant.

We do not guarantee that AI features will be accurate, available or suitable for any particular purpose. Your business remains responsible for its decisions and for what it tells its customers.

Not an emergency or medical-advice service

BOTOTO is not an emergency service and does not give medical advice. It supports administration and communication only. It is not a medical device or a telemedicine service, and the assistant must not be used to diagnose, assess symptoms, judge how urgent a problem is, or advise on treatment. Messages may not be answered straight away, for example outside opening hours, and channels or AI services can fail or be delayed.

Clinics and other health businesses must make clear on their website, in the assistant's welcome message and on their channel profiles that the chat is not for emergencies or medical advice. They must display their own emergency and urgent-contact information, and tell people with urgent needs to call their local emergency number (112 in Georgia) or phone the clinic directly.

If you are a patient with an urgent health problem, do not use the chat. Call your local emergency number or contact the clinic directly.

Customer data and privacy

You own or control your Customer Data. You allow us to process it only as needed to provide, secure and support BOTOTO, to follow your instructions and to meet our legal obligations. As your processor, we process personal data only on your documented instructions under the data processing terms, keep it confidential and separate from other customers' data, and use service providers only under written agreements. We do not sell Customer Data or use it for advertising.

We may use information about how BOTOTO is used, such as which features are used and errors, to operate and improve it, but not the content of your customers' conversations unless you instruct us to. BOTOTO is not a medical records system: keep any records the law requires you to keep in a system suitable for that purpose.

Our Privacy Policy explains how we handle personal data for our own purposes. Anyone can ask for their data to be deleted by following our Data deletion instructions.

Intellectual property and feedback

We and our licensors own BOTOTO, including its software, design, documentation and the BOTOTO name and logo. You receive only the right to use BOTOTO described in these Terms. You keep all rights in your Customer Data and your own names and logos, and you may use the replies, summaries and drafts generated for your account, although similar outputs may be generated for others. We may use any feedback you give us freely. We will not name you as a BOTOTO customer or use your logo without your written permission.

Confidentiality

Each party will use the other's non-public information only to perform these Terms, protect it with reasonable care, and share it only with people who need it and are bound by similar duties. This does not apply to information that is public, already known to the recipient, independently developed or lawfully received from someone else, or to disclosures the law requires.

Fees

Any fees for BOTOTO, and the related billing, payment, renewal, cancellation and refund terms, will be set out in an Order Form. We will not charge you any fee you have not agreed to in writing. Charges made by third-party channels are separate.

Suspension

We may suspend all or part of your access, such as one channel connection or one User, if we reasonably believe that you have seriously breached these Terms, that your use creates a security or legal risk, that the law or a provider such as Meta requires it, or that agreed fees are overdue. We will limit the suspension to what is necessary, give notice where practical, and restore access once the issue is resolved. A suspension alone does not delete your Customer Data.

Term and termination

These Terms continue until they are ended. Unless your Order Form says otherwise, either party may end them by giving 30 days' written notice, or immediately if the other commits a material breach that it does not fix within a reasonable time after notice. We may also end them if we stop offering BOTOTO, giving as much notice as we reasonably can.

When these Terms end, your access ends and we disconnect your channels. For 30 days afterwards, you may ask for a copy of your Customer Data in a commonly used, machine-readable format. We then delete it, and backup copies are overwritten within 35 days, unless the law requires us to keep it. Sections that by their nature should continue, such as confidentiality, limitation of liability, indemnity and governing law, continue to apply.

Disclaimers

We will provide BOTOTO with reasonable skill and care. Otherwise, and to the extent the law allows, BOTOTO is provided "as is" and "as available", without other warranties, including any warranty of fitness for a particular purpose, accuracy, or uninterrupted or error-free operation. This applies especially to pilot features, AI outputs and third-party services. Rights that cannot be excluded by law are not affected.

Limitation of liability

To the extent the law allows, neither party is liable for indirect or consequential loss, or for loss of profits, revenue or goodwill. We are not liable for loss caused by inaccurate information you provided, by AI outputs relied on without checking, or by third-party services. Each party's total liability under these Terms is limited to the fees you paid us for BOTOTO in the 12 months before the claim arose.

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, intentional misconduct or gross negligence, for your payment or indemnity obligations, or for anything else that cannot be limited by law.

Indemnity

You will defend us and compensate us for losses, fines and reasonable costs arising from claims by third parties, regulators or channel providers, to the extent they result from messages sent through your account (including messages sent without required consent), your Customer Data or other content, your processing of personal data without a lawful basis, or a breach of these Terms or of channel policies by you or your Users. We will notify you promptly, let you control the defence, and help at your cost. You may not settle a claim in a way that admits fault on our behalf without our consent.

Changes to BOTOTO and to these Terms

We may add, change or remove features. We will give reasonable notice of a change that materially reduces BOTOTO's core functionality for you, unless it is needed for security, to comply with the law, or because a provider changed or withdrew its service. We may update these Terms by publishing a new version on this page. For material changes, we will notify your administrators at least 30 days in advance, unless the law or a provider requires a change sooner. If you do not agree, you may close your account before the change applies. If you continue to use BOTOTO, the updated Terms apply.

Governing law and disputes

These Terms are governed by the laws of Georgia. We will each first try to resolve any dispute in good faith. If that fails, the courts of Tbilisi have exclusive jurisdiction, unless mandatory law provides otherwise. Either party may ask a competent court for urgent interim relief.

General

These Terms, your Order Form and the data processing terms are the entire agreement between us about BOTOTO. You may not transfer your rights under them without our written consent; we may transfer ours to a group company or a successor to our business, with notice. We remain responsible for our subcontractors. Neither party is liable for delays or failures caused by events beyond its reasonable control, including third-party platform outages, except for payment obligations. If any part of these Terms is unenforceable, the rest remains in force. Not enforcing a right straight away does not waive it. These Terms do not create a partnership or agency, and only you and we may enforce them. We send notices to your administrator's email address; send notices to us at info@bototo.ge or Bototo Technology LLC, 63 Anna Politkovskaya St., Apt. 23, Vake District, Tbilisi, Georgia. If we provide a translation, the English version prevails unless the law requires otherwise.
